Corporate Governance Organization

Powertech Technology Inc. sets "PTI" (Promise, Technology, and Integration) as the core values for sustainable development. Corporate governance structure is a matrix of Company Act, Securities and Exchange Laws, and other relevant regulations of the Republic of China. "Corporate Governance Best Practice Principles", "Code of Business Conduct and Ethics", "Corporate Social Responsibility Practice Guidelines", and "Management Methods of the Preventing of Insider Trading" were also taking into consideration. The Company has also established several functional committees, such as the Audit Committee, Remuneration Committee, and Risk Management Committee to enhance the structure and efficiency of the Board. Correspond committees supervised various departments to establish procedures to enhance corporate governance implantation and information disclosure. The principle for those procedures should have considered protecting stakeholder’s interests and improving information transparency.

Corporate Governance Officer
On November 6, 2020, the Board appointed Mr. Evan Tseng as the Corporate Governance Officer (CGO) who has been served as the Senior Vice President and Chief Financial Officer for almost a decade. Implementation of corporate governance and enhancement of Board efficiency are the major duties for CGO. Mr. Tseng is well qualified as CGO from his various experiences in corporate governance affairs, including supervised Board and Shareholders’ meeting of public listed companies. Mr. Tseng met the qualification as the head of corporate governance defined by Article 23 of "Compliance with the Establishment of Board of Directors by TWSE Listed Companies and the Board's Exercise of Powers." CGO’s major responsibilities are making sure Board and Shareholders’ meetings comply with regulations, sufficient information for Directors to perform, and continuing education for Directors with related laws and regulations. 2023 Corporate Governance Officer major execution included:
  • 1. Planned annual meeting schedule and agenda for Board of Directors, Audit Committee, Remuneration Committee, Risk Management Committee, and Shareholders’ meetings.
  • 2. Planned for the Board meeting proposals and delivered 7 days advanced notices to the Board members. Advised directors to be excused when proposals created a conflict of interests for Board members.
  • 3. Updated on related securities laws and regulations when needed to directors. Reminder of duty of confidentiality had been sent alone with meeting notice.
  • 4. Presented detailed meeting minutes of each Board and Committee meeting within 20 days of the event. Audio and video recordings were safely stored in dedicated area and server for the duration of the existence of the company.
  • 5. Followed the regulation to register for the date of the Shareholders’ meeting. Provided meeting notice, handbook, annual report, and meeting minutes comply with TWSE corporate governance evaluation system. When Shareholders’ meeting approved modification of operation registration, changes need to filed within 15 days of Shareholders’ meeting with Department of Commerce of the Ministry of Economic Affairs (MOEA).
  • 6. Responsible for the announcement of material information on important resolutions of the Board and Shareholders’ meeting to ensure its legality, accuracy and timely to comply with information equality to protect the rights and interests of investors.
  • 7. Provided directors with continuing education options, and assist with course registration and related issues.
  • 8. Evaluated and presented annual performance evaluation for directors in the beginning of each year to enhance Board and functional Committees’ efficiency. Established performance targets defined by Article 2 of the "Board Performance Evaluation Measures" to improve the efficiency for corporate governance operation.
  • 9. Arranged the Directors and officers Liability Insurance with the coverage of US$30 million in year 2023. The insurance coverage details had been approved in previous Board meeting.
